1. The service

AppKatz E-Sign ("the Service") is a free tool operated by LaunchWizard, LLC, doing business as AppKatz Software ("AppKatz", "we"), that lets a sender upload a PDF and collect electronic signatures from the people they invite. These terms apply to everyone who uses the Service: senders and signers ("you").

2. Transaction value limit

The Service may be used only for agreements whose total transaction value is US$1,000 or less. By using the Service you confirm that your agreement is within this limit.

3. Pass-through facilitator; no retention

AppKatz only facilitates signing. We are not a party to any agreement signed with the Service and have no obligations under it. We do not store or retain documents or records after a transaction ends: the document and all transaction data are deleted once the final copy has been emailed to every party, when a signer declines, or after the retention period (currently 14 days) for unfinished requests. We cannot provide copies, records, confirmations or testimony later. Each party is solely responsible for saving their own copy of the final document.

4. Your responsibilities

• Some documents cannot lawfully be signed electronically, or require additional formalities, for example wills and testamentary documents, court orders and pleadings, notarized or witnessed instruments, real-estate instruments, and certain family-law documents. You are responsible for confirming that an electronic signature is valid and sufficient for your document and jurisdiction.
• You must have the right to share the document and the email addresses you enter, and authority to sign.
• You must follow the Acceptable Use Policy, which is part of these terms. Among other things, it prohibits uploading classified or export-controlled information, health records, payment card or bank account data, government ID numbers, credentials, biometric data, children's personal information, and trade secrets or NDA-covered material (unless the signers are the NDA's own parties). AppKatz does not read or inspect documents; compliance is your responsibility.
• You must not use the Service for unlawful, fraudulent, deceptive, harassing or unsolicited purposes, including phishing or spam. We may block senders and refuse or cancel requests at our discretion.

5. Identity verification

We verify only that a person can receive email at the address used (and, for senders, that they confirmed from it). We do not verify anyone's identity, authority or legal capacity.

6. Consent to electronic records and signatures

By using the Service you consent to conduct business electronically and to use electronic records and signatures, consistent with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted in your state. You may decline to sign at any time before signing.

7. No legal advice

AppKatz does not provide legal advice. Nothing in the Service, these terms or our communications is legal advice.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE, THAT EMAILS WILL BE DELIVERED, OR THAT A SIGNED DOCUMENT WILL BE VALID OR ENFORCEABLE.

9. Disclaimer and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPKATZ, LAUNCHWIZARD, LLC AND THEIR OWNERS, EMPLOYEES AND CONTRACTORS DISCLAIM ALL LIABILITY ARISING FROM OR RELATED TO THE SERVICE, ANY DOCUMENT OR AGREEMENT SIGNED WITH IT, OR ANY FAILURE, DELAY OR LOSS OF DATA OR EMAIL, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND PUNITIVE DAMAGES.

WHERE APPLICABLE LAW DOES NOT ALLOW LIABILITY TO BE EXCLUDED, APPKATZ'S TOTAL LIABILITY FOR ALL CLAIMS, TAKEN TOGETHER, IS LIMITED TO US$10.

This liability limit is separate from, and unrelated to, the US$1,000 maximum transaction value in Section 2: the transaction limit restricts what the parties may agree between themselves; it is not an amount AppKatz is liable for.

10. Indemnity

You agree to defend, indemnify and hold harmless AppKatz and LaunchWizard, LLC against all claims, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from your documents and their contents, the agreements you sign or ask others to sign, your breach of these terms or the Acceptable Use Policy, or your misuse of the Service.

11. Changes and availability

We may change, suspend or discontinue the Service, or these terms, at any time. The version in effect when you agreed is recorded on each audit certificate.

12. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules.

13. Severability

If any provision of these terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
